1. Introduction and Acceptance

Welcome to ShareRacks.com (“ShareRacks,” “we,” “us,” or “our”). ShareRacks is a technology platform that connects individuals and businesses who have unused commercial space (including pallet racks, bays, and open floor space) with users seeking flexible storage solutions, including pallet storage and lockable shareboxes.

By accessing or using our website, mobile application, or services (collectively, the “Platform”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, you may not use the Platform.

2. Definitions

• “Host” means any user who lists available pallet space, racks, bays, or shareboxes on the Platform.
• “Renter” means any user who books or rents space or shareboxes through the Platform.
• “User” means any visitor, Host, or Renter of the Platform.
• “Listing” means any space or sharebox offered by a Host on the Platform.
• “Services” means the technology platform services provided by ShareRacks, including matching, payments, and tracking tools.

3. Eligibility and Accounts

You must be at least 18 years old and capable of forming a binding contract to use the Platform. You agree to provide accurate information when creating an account and to keep your account information up to date. You are responsible for maintaining the confidentiality of your account credentials.

4. Description of Services

ShareRacks provides a technology platform that allows:

• Hosts to list unused commercial space (pallet racks, bays, open floor space, or lockable shareboxes).
• Renters to search, book, and manage storage for pallets or lockable shareboxes.
• Hosts to offer optional paid services such as in/out fees, break bulk, repackaging, and labor.

Important: ShareRacks is a technology platform only. We do not own, manage, or control any physical space or shareboxes. All transactions occur directly between Hosts and Renters.

5. Host Obligations

Hosts agree to:

• Provide accurate descriptions, photos, and availability of their Listings.
• Comply with all applicable laws, zoning regulations, and lease terms regarding the use of their space.
• Maintain the safety and security of their premises.
• Fulfill any services they offer (such as pulling shareboxes or pallets) in a timely and professional manner.
• Be solely responsible for the legality and safety of items stored in their space.

6. Renter Obligations

Renters agree to:

• Only store legal, non-hazardous, non-combustible, and non-flammable items.
• Accurately describe the items they intend to store.
• Pay all fees, including space rental and any applicable in/out or service fees.
• Comply with all rules set by the Host and applicable laws.
• Indemnify and hold harmless ShareRacks and the Host from any claims arising from the Renter’s stored items or use of the space.

7. Prohibited Items and Uses

The following items are strictly prohibited on the Platform:

• Hazardous materials, chemicals, explosives, or flammable goods
• Illegal items or substances
• Live animals
• Perishable goods (unless approved by the Host)
• Any items that violate local, state, or federal law

ShareRacks reserves the right to remove any Listing or suspend any User who violates this policy.

8. Fees and Payments

• ShareRacks charges a service fee on transactions (typically 12–15% of the total booking amount).
• Hosts set their own prices for space and services.
• All payments are processed through the Platform. Hosts receive payment minus applicable fees.
• In/out fees and service fees are charged automatically based on Host settings.

9. Intellectual Property

All content on the Platform, including text, graphics, logos, and software, is the property of ShareRacks or its licensors. Users may not copy, modify, or distribute any content without prior written permission.

10. Disclaimers and Limitation of Liability

The Platform is provided “as is” without warranties of any kind. ShareRacks does not guarantee the accuracy of Listings, the condition of spaces or shareboxes, or the performance of Hosts or Renters.

To the maximum extent permitted by law, ShareRacks shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the Platform or any transaction between Users.

11. Indemnification

You agree to indemnify and hold harmless ShareRacks, its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys’ fees) arising from your use of the Platform, your Listings, or your stored items.

12. Termination

We may suspend or terminate your access to the Platform at any time, with or without notice, if you violate these Terms or engage in fraudulent or harmful behavior.

13. Governing Law

These Terms shall be governed by the laws of the State of California, without regard to its conflict of law principles. Any disputes shall be resolved in the state or federal courts located in San Diego County, California.

14. Changes to These Terms

We may update these Terms from time to time. The updated version will be posted on this page with a new effective date. Your continued use of the Platform after changes constitutes acceptance of the new Terms.
